Free Industrial Zones and Crypto: The Tax Break That Will Not Save You From AML

Free Industrial Zones are one of Georgia’s genuine attractions, offering meaningful tax advantages to companies that qualify. For crypto founders, though, they are also the source of a persistent and dangerous misunderstanding. A zone can lower your tax bill, but it does nothing to lift the financial regulation that applies to virtual asset services. Treating it as a shortcut around the rules is a mistake.

The logic of a zone is industrial and fiscal. It creates a favourable tax environment to encourage activity. That is a different question entirely from whether your activity is a regulated financial service. A company can sit inside a zone and still be fully subject to registration and anti-money-laundering obligations, because those obligations attach to what the company does, not to where it is located.

This matters because the penalties for getting it wrong are severe. A crypto business that relies on a zone to avoid registration, and skips the compliance that should come with it, is not saving money. It is building exposure. Operating regulated activity without the required registration can lead to fines, forced closure, frozen accounts and personal liability for those running the company.

The better way to think about a zone is as one input into your structure, not the structure itself. If the tax treatment helps and your model qualifies, use it. But layer it on top of proper registration and a real AML framework, rather than treating it as a substitute. The two are designed to coexist, and the businesses that thrive use both correctly.

There is also a practical banking dimension. Banks and partners look at substance and compliance, not just tax status. A zone company that cannot show proper registration and controls will struggle to open accounts and win partnerships, which quickly cancels out any tax saving. Credibility, in this market, is worth more than a marginal rate.

The right way to use a zone is to treat it as a tax and operational layer that sits on top of full compliance, not instead of it. If your model genuinely qualifies and the tax treatment helps, take the benefit, but pair it with proper registration, a real AML framework and clean banking, so the structure is sound from every angle. Done this way, a zone can genuinely improve a business without exposing it. Done as a shortcut, it becomes a liability dressed up as a saving. The distinction matters because regulators and banks look straight through labels to substance, and a zone company that cannot show real compliance gains nothing while risking everything. We help businesses combine the genuine advantages of a zone with the obligations that have to come with them, so the saving is real and the structure holds.

We help businesses combine the right structure, including a zone where it genuinely fits, with the registration and AML framework the law requires. If you have been told a Free Industrial Zone solves your regulatory problem, let us give you an accurate picture before you build on that assumption.
